Item 8.01 Other Events.
 
On October 28, 2010, the board of directors of Resources Connection, Inc. (“Resources” or “the Company”) declared a quarterly cash dividend of $0.04 per share on the Company’s common stock.  The dividend is payable on December 22, 2010 to stockholders of record at the close of business on November 24, 2010.  The Company’s board of directors will assess and approve future dividends quarterly.
