Resources Connection Launches Resources Audit Solutions Costa Mesa, CA, July 23, 2002 -- Resources Connection, Inc. (NASDAQ: RECN) today announced the launch of a separate subsidiary, Resources Audit Solutions, to provide truly independent internal audit services. Established as a result of the market need for independent internal audits, the practice will be led by newly appointed Global Managing Director, Stephanie Woodruff, who brings to the role extensive experience in managing global internal audit departments.

“As a result of the current turbulent environment, we felt that it was critical to establish a practice dedicated to helping corporations create effective systems of internal controls,” commented Donald B. Murray, President and Chief Executive Officer of Resources Connection. “Resources Connection offers unique perspective and distinct benefits to clients who are looking for an independent approach that does not conflict with external audit work. Resources’ strengths include our independent approach, global reach and Big Five heritage, combined with our pool of highly qualified and experienced professionals, who boast an average of 18 years experience. Our true differentiator, however, is that we can provide highly targeted and flexible internal audit solutions at a value superior to any other alternative.”

“The ongoing demand for these types of services creates a significant opportunity for us,” said Stephanie Woodruff, Global Managing Director of Resources Audit Solutions. “While we have offered internal audit solutions since our founding, this new subsidiary was designed to not only monitor and report on basic internal controls, but to also support the business objectives of Resources’ clients.”

To coincide with the launch of the practice, and in conjunction with law firms including O’Melveny & Myers LLP, Stephanie Woodruff and her team are conducting a series of educational forums on corporate governance, which will specifically address audit committee best practices. The forums, which will take place in key markets including San Francisco, Washington D.C., New York and Chicago, are designed to provide insight into how to best address the internal audit function in light of recent events and concerns surrounding perceived independence risk to internal auditors. Some of the topics addressed will be audit committee and internal audit best practices surrounding control environment breakdowns.

Ms. Woodruff concluded, “Efficient corporate governance is the foundation that will enable companies to move forward and focus on growing their businesses. Our forums aim to educate senior executives and corporate board members on the critical role that internal audit plays in the day to day management of a public company and to communicate the importance of risk management.”
